This document establishes the terms and conditions under which Medicalcwh (hereinafter, "the company") offers access to and use of the M.E.D.I.C.A.L. platform (Mechanical Engineering & Data Integration Control And Logistics), a SaaS software for logistics automation for distribution centers and industrial warehouses.
The M.E.D.I.C.A.L. platform enables the automation of inventory control, real-time data integration, and optimization of logistics processes in industrial facilities. The service is provided under a SaaS subscription model, without transfer of ownership of the software or its source code.
The client agrees to: (a) provide truthful and up-to-date information during registration and initial setup; (b) maintain the confidentiality of their access credentials; (c) use the system solely for lawful commercial purposes related to the management of their supply chain; (d) not reverse engineer, decompile, or attempt to extract the source code.
Medicalcwh commits to maintaining the platform operational with a minimum availability of 99.5% monthly, excluding scheduled maintenance windows notified 48 hours in advance. The company shall not be liable for indirect damages, data loss due to causes beyond its control, or interruptions caused by external infrastructure providers.
In no event shall the cumulative liability of Medicalcwh for any claim arising from the use of the service exceed the total amount paid by the client during the six months prior to the event giving rise to the claim. This limitation applies even if the company has been advised of the possibility of such damages.
All intellectual property rights in the M.E.D.I.C.A.L. software, including its architecture, algorithms, user interface, and technical documentation, belong exclusively to Medicalcwh. The client acquires only a non-exclusive, non-transferable license for use limited to the subscription period.
The company will treat the client's inventory and operational data as confidential information, using it solely for the provision of the service. It will not be shared with third parties without explicit consent, except as required by law. Data will be stored on servers located in Argentina, complying with local data protection regulations.
The contract shall have an initial term of 12 months, automatically renewable for equal periods unless notice to the contrary is given 30 days in advance. Either party may terminate the agreement immediately in the event of a material breach of the obligations set forth herein, following written notice and a 15 business day cure period.
Medicalcwh reserves the right to modify these terms at any time, notifying changes at least 30 days in advance via the registered email address. Continued use of the service after the modifications take effect will imply acceptance of them.
